These Terms of Service (“Terms”) govern your use of the Stout Intel Agency website and the services we provide. By using our site, engaging our services, or paying a deposit, you agree to these Terms. Stout Intel Agency is a sole proprietorship operated by Logan Stout, based in Salt Lake City, Utah.
Services
Stout Intel provides AI operations consulting, automation engineering, and custom software development. For an overview of what we offer, see our Services page. The specifics of any engagement are defined in a proposal, statement of work (SOW), or written agreement.
Engagement & Scope
Each engagement is defined by its scope, deliverables, and timeline as documented in the applicable proposal or SOW. Work outside that scope is handled as a change request and may affect fees and timeline. We'll agree on any changes in writing before proceeding.
Intellectual Property & Source-Code Ownership
Upon full payment, you own the custom deliverables and source code we build specifically for you. Your work is yours.
Stout Intel retains ownership of its pre-existing tools, reusable frameworks, methods, and general know-how, and may reuse non-confidential, generalized learnings across engagements. This never includes your confidential information or the deliverables built specifically for you.
Accounts & Credentials Ownership
All third-party accounts, API keys, and automation platforms provisioned for you remain your property and under your control. We are granted access only for the duration of the engagement, and that access is revoked on completion. You keep the keys to everything we build on.
Confidentiality
Confidentiality is mutual. Each party protects the other's non-public information and uses it only to perform under the engagement. Stout Intel will sign your NDA on request.
Fees, Deposits & Refunds
The $100 strategy-session fee is a refundable deposit. If you continue with a project, it applies to the project. If Stout Intel determines it can't service your needs, the deposit is fully refunded. Fees for engagements are set out in the applicable proposal or SOW.
Third-Party Software & Model-Usage Charges
You are responsible for your own third-party SaaS subscriptions and LLM/API usage costs. Where Stout Intel fronts these costs on your behalf, they are passed through to you at cost with no markup.
Support & Maintenance
Support and maintenance are delivered per the scope of the engagement or SOW. Ongoing support is available separately under its own agreement. Nothing in these Terms implies perpetual free support.
Warranties & Disclaimer
Services are provided on a commercially reasonable basis. We do not warrant that automations or software will be uninterrupted or error-free. AI outputs can contain errors and should be reviewed before being relied upon. Except as expressly stated, services are provided “as is” without warranties of any kind, whether express or implied.
Limitation of Liability
To the maximum extent permitted by law, Stout Intel's total liability arising out of or related to an engagement is capped at the fees you paid for that engagement. Stout Intel is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
Indemnification
You agree to indemnify and hold Stout Intel harmless from claims arising out of your misuse of the deliverables, your content or data, or your breach of these Terms, to the extent permitted by law.
Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.
SMS / Text Message Program Terms
Program description. Stout Intel Agency operates an SMS program for its own clients. Participants receive text messages related to their account and projects: replies from their consultant in the client portal message thread, invoice and payment notices, booking and appointment confirmations, and occasional announcements about new portal features and services. Messages are sent from (801) 316-8544.
How to join. Participation is opt-in only. A client signs in to their portal at stoutintel.com/portal, adds a mobile number to their profile, enables SMS alerts, and accepts a written consent disclosure. We record the date, time, and exact wording accepted. We never add a number obtained any other way, and we do not buy, rent, or import phone number lists. Consent to receive text messages is not a condition of purchasing any goods or services. The full opt-in flow is documented publicly at stoutintel.com/sms.
Frequency and cost. Message frequency varies based on activity in your account. Message and data rates may apply. Stout Intel does not charge for the messages themselves; your mobile carrier's standard rates apply.
How to opt out. Reply STOP to any message to cancel at any time. You will receive a single confirmation and no further messages. Reply START to rejoin, or HELP for assistance. You may also disable SMS alerts in your portal profile, which takes effect immediately.
Carriers and availability. Mobile carriers are not liable for delayed or undelivered messages. Delivery is subject to your carrier and device.
Privacy. No mobile information is shared with third parties or affiliates for marketing or promotional purposes. Phone numbers and SMS consent records are used solely to deliver the messages described above. See the Privacy Policy. Support: logan@stoutintel.com or (801) 316-8544.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of our site or services after changes take effect constitutes acceptance.
